Membership Restrictions
Services, provided by Selected-links.com are not accessible to, and may not be used by, individuals under the age of 18 years old or Selected-links.com members whos membership was suspended. If you do not qualify, you may not use services, provided on our Site. When registering like a business entity, you should have the authority to bind that entity to this very User Agreement.
Individuals which are in any way agents of, affiliated with, doing work for, or employed by any Internet search-engine organization may not register to make use of this internet site.
Description of Services and Parties
Selected-links.com provides an online services to their members (advertisers and publishers), which allow publishers to sell text advertisements on their web sites and, accordingly, allow advertisers to buy text advertisements on publisher's sites. Selected-links.com manages the process of selling and buying text ads between participants (advertisers and publishers). By clicking below, you agree to become an advertising client (i.e. an individual person or legal/business entity which buys advertisement space or spaces) and/or a publisher (an individual or legal/business entity which sells an advertisement space or spaces to an advertiser), as the case might be, in connection with and utilizing the Selected-links.com's Services. In addition, you confirm that you will use the Selected-links.com site only for the exact purpose of looking through the Company's advertisements inventory listing, having a genuine desire for purchasing or selling text links, and you will not use the Site for any kind of other reasons.
Pricing
Publishers set prices for text ads spaces on their web sites; however any prices for advertisement spaces are set in Selected-links.com's sole discretion. Selected-links.com reserves the rights to adjust or amend in any way its price list records, we additionally reserve the right to introduce new charges at any given time upon prior notice for the Member, which may possibly be sent via email or posted on our Site.
Prices for pages with 'default link price' can be changed, depending on PageRank of the page. Please note, that our system updates PageRank on a regular basis and Selected-links.com is not responsible for any changes to PageRank in between those updates. Selected-links.com will not refund money to advertisers in case of PageRank change outside of our system in between of our PageRank updates. New prices will only take effect after PageRank has been updated within our system. Advertiser can notify us about PageRank changes, so we can apply those changes accordingly before our next PageRank update.
Publisher Compensation
Publisher will be compensated at a 50% revenue share, based upon earnings during the previous calendar month. Selected-links.com reserves the rights to adjust or amend in any way the revenue share percentage. The revenue is calculated as a percentage of the price paid by the Advertisers for text ads sold on Publisher's web sites. Selected-links.com will make payments once a minimum of $10 worth of links has been accumulated. We pay you for the links placed between the 1st and the last day of the previous month including any outstanding balances from previous months.
Billing
Payments for text link credits are accepted via PayPal or Credit Card. All payments will credit member's account at Selected-links.com. Selected-links.com will accept a single payments as well as subscriptions on a monthly basis.
Refunds and Chargebacks
In case of a refund or a chargeback, initiated by an advertiser, Selected-links.com will reverse calculated payments for publishers, affected by this action. As a result the appropriate sum will be deducted from the publishers' balances. Only publishers, who had backlinks sold to that advertiser, will be affected by this action. Selected-links.com reserves the rights to restrict access to the system for the advertiser, who initiated the chargeback or the refund.
Member usage
As a member you are bound to use this Site in a responsible manner, i.e. both in full compliance with this very User Agreement and with your local laws and regulations that might be applicable. You will not use the Site for any purposes that are illegal, pornographic, infringing, obscene, abusive, or in any other manner offensive, this includes but is not limited to violating or otherwise diminishing the security of any computer network.
You will use the Site to make personal use of it, but you will not use it to download (other than page caching) or modify the whole Site or any portion of it.
You certify that the details you provide us with are both complete and correct; you further certify that you will inform us immediately of any changes regarding the information that you provided us with in the registering procedures. You can access and update most of the information you provided us with during registration in the Your Account area of our website.
You agree that you are responsible for controlling the access to your registered account and for protecting your password. You agree that you will be responsible for all orders placed and all other actions that are ordered using your registered account.
Under no circumstance can Members divulge, record, or abuse any information pertaining to web sites found in our inventory, including but not limited to URLs, descriptions, and images.
Limitation of services
We may refuse to provide our services to you without any notice to you in the following events: - if you breach this User Agreement or the herewith by reference incorporated documents; - if, despite reasonable endeavors, we are unable to verify or authenticate any information you provide us with; - if we have reason to believe that your actions may cause financial loss or legal liability to us; or - if we find you to engage in undesirable activities.
Disclaimer of Warranties
Selected-links.com does not have any duty to control the content that any user makes available through the Site. Selected-links.com is not liable for the solvency of its Users and the accuracy of any content displayed through its Site. You assume all risks related to your published content. Regardless of whether you are an advertiser or a publisher, you, may you be an advertiser or a publisher, understand that other users, including your competitors, will have access to Selected-links.com`s Site and Services. By force of this very User Agreement, you release Selected-links.com from any liability related to the publication of your content through the Site.
We provide this service on an "as is" and on an "as available" basis. To the fullest extent permitted by applicable law, we make no representations or warranties of any kind, express or implied, regarding the use or the results of this web site in terms of its correctness, accuracy, reliability, or otherwise. We disclaim all warranties with regard to the information provided, including the implied warranties of merchantability and fitness for a particular purpose, and non-infringement. Some jurisdictions do not allow the exclusion of implied warranties, therefore the above-referenced exclusion is inapplicable.
Limitation of Liability
Selected-links.com will not be liable for any damages whatsoever or for personal injury or death resulting from our negligence or the negligence of our employees or agents. Selected-links.com will not be liable for any SPECIAL, INDIRECT, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, OR DAMAGES FOR LOST PROFITS, LOSS OF REVENUE, OR LOSS OF USE, ARISING OUT OF OR RELATED TO THIS WEB SITE OR THE INFORMATION CONTAINED IN IT, WHETHER SUCH DAMAGES ARISE IN CONTRACT, NEGLIGENCE, TORT, UNDER STATUTE, IN EQUITY, AT LAW. SOME JURISDICTIONS DO NOT ALLOW FOR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, THEREFORE SOME OF THE ABOVE LIMITATIONS IS INAPPLICABLE in connection with this very User Agreement.
Privacy
Member agrees not to disclose Selected-links.com Confidential Information without it's prior written consent. " Selected-links.com Confidential Information" includes without limitation all its software, technology, programming, technical specifications, materials, guidelines and documentation member learns, develops or obtains that relate to the Services or the Site, and any other information designated in writing by Selected-links.com as "confidential" or any designation to the same effect.
Indemnity
Member agrees to indemnify and hold Selected-links.com and (as applicable) its affiliates, subsidiaries, directors, officers, employees, and agents, harmless from any demand or claim, including reasonable legal fees, made by any third party due to or arising out of your breach of this very User Agreement (including the documents incorporated by reference), or your violation of any laws or the right or rights of any third party, or other user of the Service using Member's computer, of any intellectual property or any other right of any person or entity.
Termination
Both Selected-links.com and Members may terminate the Services at any time by notifying the party by any means. Any fees paid hereunder are non-refundable and non-cancelable. If the publisher terminates their Services at any time, a 30 day notice must be given. If the Member violates Selected-links.com terms and conditions, the member waives their right to qualify for payout and any fees paid hereunder are non-refundable and non-cancelable.However, advertisers may only cancel a purchase at the end of the period that the advertisement runs, whereas publishers may only cancel advertisement spaces at the end of the period that the last advertisement of the advertisement space runs.
Compliance with Laws
Member assumes all knowledge of applicable law and is responsible for compliance with any such laws. Member may not use the Service in any way that violates applicable state, federal, or international laws, regulations or other government requirements. Member further agrees not to transmit any material that encourages conduct that could constitute a criminal offense, give rise to civil liability or otherwise violate any applicable local, state, national, or international law or regulation. Please do not assume that you are allowed to do what other users do, or that we are approving or validating any transaction, even if you have successfully made similar sales or purchases in the past.
Other terms
This Terms of User Agreement shall apply in addition to, and shall not be superseded by, any other written agreement between us in relation to your participation as a Member. Both parties agree that this Agreement is the exclusive and complete statement of the mutual understanding of the parties and, as such, cancels and supersedes all previous written and/or oral agreements, communications and other understandings relating to the subject matter of this Agreement. Further, both parties agree that all modifications must be in writing and signed by both parties, except as otherwise provided herein.
You acknowledge that copyright laws protect the Site.
